About These Terms

These terms explain how HELM promotions work for the pros who choose to take part.

They supplement the Service Provider Terms and the Terms of Service. Where they conflict on a promotion, these terms control. HELM, Inc. is a Delaware corporation, and promotions are offered only in the United States.

Taking Part Is Your Choice

You take part only if you opt in on the Promotions tab of your listing by agreeing to these terms. HELM records the version of these terms you agreed to, the time you agreed, and the highest percent off you agreed to (your "agreed percent"). Until you opt in, no promo can lower your rate. HELM opens promotions to pros when it is ready to run them, and opting in is not available before then.

How a Promo Works

HELM issues promo codes to clients. When a client books you with a promo, the client's discount is shared between you and HELM:

  • Your share is the promo's percent off your rate for the booking (the labor portion of the price).
  • HELM's share is HELM's platform fee on that same amount. HELM gives up its fee on the part of your rate that is discounted.
  • The client saves both shares together.

For example, with a 15% promo and a 20% platform fee on a booking with a $1,000 rate, $150 comes off your rate, HELM gives up the $30 fee on that $150, and the client saves $180. You are paid on $850, less the usual card-processing cost, as on every booking. The Promotions tab shows the same example at today's settings.

Some promos also have a dollar limit. When a promo reaches its limit, your share and HELM's share shrink in the same proportion.

What Is Never Discounted

A promo applies only to your rate and HELM's fee on it. It never reduces overtime, groceries and ingredients, approved event receipts, travel, tips, or any other amount that is reimbursed to you or passed through to you.

The Most a Promo Can Take

HELM sets a maximum percent for all promos (the "promo cap"), shown on your Promotions tab. A promo never takes more than your agreed percent off your rate. If HELM later raises the promo cap, you are offered only promos at or below your agreed percent until you choose to opt in again at the new cap. If HELM lowers the cap, the lower cap applies to you.

Your Payout

You are paid on your rate less your share, together with every amount that is not discounted, on the same schedule as any other booking (Service Provider Terms §7). HELM pays its own share. Your payout statements show the promo.

When a Booking Changes

If a booking with a promo changes before the event (for example, more hours or more guests), the promo is recalculated on the new price at the same percent. If by then you no longer take part in promos at that percent, HELM covers your whole share on the changed booking, and the client's price is worked out the same way.

Stopping

You can stop taking part at any time on the Promotions tab.

  • A booking you have already confirmed keeps its promo and its terms.
  • If a request with a promo is waiting for you when you stop, HELM covers your share on that request. If you accept it, you are paid as if there were no promo on your rate.
  • After you stop, you can take part again 30 days later.

HELM can also take you out of promotions at any time. When it does, the same rules apply: confirmed bookings are unchanged, and HELM covers your share on waiting requests.

Replacement Pros

If HELM offers a request to another pro (for example, after a decline), a promo moves with the request only to a pro who takes part in promotions at that percent or more. Otherwise, HELM offers the request without moving the promo to that pro.

Cancellations and Refunds

The usual cancellation and refund rules apply to a booking with a promo. Any refund is worked out from the amounts the client actually paid, after the discount.

HELM's Choices

HELM decides which promos to run, who receives them, when they start and end, and their percent within the promo cap. HELM may end a promo or all promotions at any time. Ending a promo never changes a booking already confirmed.

Changes to These Terms

HELM may change these terms. HELM will tell you before a change takes effect, and if you keep taking part after that date, the changed terms apply to promos on requests made from then on. A change never applies to a booking already confirmed. If you don't agree to a change, you can stop taking part.
