These Terms for HELM Service Providers (“Service Terms”) govern your use of the HELM Platform to publish and offer Services to HELM members. By submitting a Service to be listed on the Platform, you are agreeing to these Service Terms. They supplement our Terms of Service; where they conflict on a provider-specific matter, these Service Terms control.

1. Listing a Service

To list a Service, you must create a listing and submit the Service to HELM. Services must at all times meet the standards of HELM. When listing a Service you must, where applicable, fully educate and inform HELM members or guests about (i) any risks inherent or incidental to the Service, (ii) any requirements for participation, (iii) the location(s) where the Service may lawfully be performed, and (iv) any applicable licenses, permits, certifications, and registrations you hold to perform the Service in those locations, and (v) anything else they may need to know to safely participate in the Service.

2. Content

If the Content you provide or approve for inclusion on the Platform includes your or a third party’s name, image, likeness, or voice, by providing Content, you authorize HELM to use all such names, images, likenesses or voices to promote, market or provide information about the Platform, in any media or on any platform, known or unknown to date and in particular on the Internet and social networks. If any third party’s name, image, likeness, or voice is contained in Content included on your Listing pages, you represent and warrant that you have obtained or will obtain a written release from all such third parties granting HELM the rights and permissions outlined in this paragraph before providing or approving such Content through the Platform. You agree to provide HELM, upon request, a copy of any such written release. You are responsible and liable if any of your Content violates or infringes the intellectual property, privacy rights, or publicity rights of any third party.

4. Hosting Guests

Once your Service is published on the Platform, you will have the ability to add dates and times when you offer your Service through the Platform (an “Instance”). By making an Instance of your Service available on the Platform, you agree that only people who book through HELM can attend that Instance of the Service. You further agree that you will not allow people to attend any Instance of your Service available on the Platform unless that person booked through HELM (or was added as an additional Guest for a spot booked through the Platform).

5. Equipment

You are responsible for providing all equipment, including supplies, vehicles, venues and other materials (“Equipment”) necessary to host your Service. You are solely responsible for ensuring that the Equipment used in your Service or Experience is in good working order and conforms to all laws pertaining to safety, equipment, inspection, and operational capability. Except as otherwise required by law, you assume all risk of damage or loss to your Equipment. This Section shall not apply to Equipment ordinarily made available for your use by the guest (for example, a stove made available by a guest for a private meal) or as otherwise expressly agreed by you and the guest.

6. Additional Provider Responsibilities

You are responsible for (i) understanding and complying with all laws, rules and regulations that may apply to your Service, (ii) obtaining and maintaining any required licenses, permits, certifications, authorizations or registrations prior to providing your Service; and (iii) retaining, keeping up to date, and preserving the documentation needed to verify these licenses, permits, and registrations. In addition, to the maximum extent permitted by law, you are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you provide access to any part of the Service, all areas and facilities where the Service is located that the guests are legally entitled to use in connection with the Service. For example, this means: (i) you are responsible for leaving a venue (and related personal property) in the condition it was in when you arrived, (ii) you are responsible for paying all reasonable damages amounts, and (iii) you must act with integrity, treat others with respect and comply with applicable laws at all times.

7. Timing of Payouts

Subject to and conditional upon successful receipt of the payments from member or guest, HELM will initiate payouts to your selected payout method for Services at the time specified by the Platform.

8. Proprietary Rights and No Publicity

You will not use, distribute, or modify any HELM trademarks, text, images, videos, documents, or other content of HELM except as permitted in these Service Terms. You may not issue a press release in connection with these Service Terms or otherwise utilise HELM’s aforementioned intellectual property, without the prior written consent of HELM.

9. Termination

As a Service Provider, you may terminate this agreement for any reason and at any time by sending us an email or by removing all of your Services from the Platform. HELM may terminate this agreement, stop providing access to the Platform, deactivate your account, or any combination thereof, for any reason by providing you 30 days’ notice via email or using any other contact information you have provided for your account. HELM may also terminate this agreement, stop providing access to the Platform, deactivate your account, or any combination thereof, immediately and without notice if: (i) you materially breach this agreement and/or our other Terms or Policies, (ii) you materially fail to comply with the standards announced by HELM from time to time; (iii) any required licenses, permits, or registrations to perform your Service expired or were revoked and are not renewed or reinstated within 7 days of expiration or revocation, (iv) you violate applicable laws, or (v) we reasonably believe termination is advisable to protect HELM, its members or third parties.

10. Hosting as a Team or Organization

You must provide your Service in person and may not allow any third party to provide the Service on your behalf. Except where expressly authorized, any member of a team, business, or organization that interacts with guests (“Guest-Facing Personnel”) must be added to a Service.

11. Insurance

You agree to obtain and maintain at your expense any insurance required by law in addition to liability insurance with limits appropriate and customary for your business and providing primary coverage for your liability and the liability of any of your employees or agents working with you or on your behalf for third party bodily injury and property damage arising from your Service. We may also, acting reasonably and with reasonable advance notice, require that you obtain other types and limits of insurance at your expense and/or name HELM as an additional insured under any policy you are obligated to maintain under this Section in order to publish or continue listing a Service on the Platform. We will provide you with reasonable notice of any changes to these insurance requirements that apply to your Service.

12. Severability

If any provision or part of a provision in these terms is held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions.

13. Modifications to these Service Terms

HELM reserves the right to modify these Service Terms at any time.
